SnipFic Terms of Service — Long Version

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Spire Interactive, LLC (“Spire,” “we,” “us,” “our”), a company based in Foothill Ranch, California, USA. These Terms govern your access to and use of the SnipFic website, mobile applications, shareable asset tools, software, and all related products and services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, Community Guidelines, Content Guidelines, and any additional policies or instructions referenced herein or made available through the Service. If you do not agree to these Terms, you must not use the Service.
1. Overview of the Service
SnipFic is a platform that enables users to write, publish, view, share, and interact with short literary works and other content created by users (“User Content”). The Service includes tools for distributing User Content in the form of SnipFic-generated shareable assets, which may be posted both within SnipFic and on external social media platforms. SnipFic does not and cannot guarantee the accuracy, reliability, legality, or appropriateness of any User Content and assumes no responsibility for it.
2. Eligibility and Account Requirements
You may use SnipFic only if you meet the minimum age required to consent to data processing in your country (“Minimum Age”). The Minimum Age is 13 in the United States but may be higher elsewhere. If you are above the Minimum Age but still a minor under local law, you may use SnipFic only with the permission of a parent or legal guardian. Users under 18 may not access adult or 18+ content.
When you create an account, you must provide accurate and complete information and keep this information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. You agree to notify us immediately at support@spireinteractive.com if you suspect unauthorized access or use of your account.
We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine, in our sole discretion, that you have violated these Terms or pose a risk to the integrity, security, or lawful operation of the Service.
3. User Content and Intellectual Property Rights
3.1 Ownership of User Content
You retain all rights, including copyrights and any other intellectual property rights, in the User Content you submit, create, or publish through the Service. Nothing in these Terms transfers ownership of your User Content to Spire Interactive.
3.2 License You Grant to Spire Interactive
By submitting, posting, or otherwise making User Content available through the Service, you grant Spire Interactive a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable, and irrevocable license (terminable only upon the complete and successful deletion of your account and associated User Content) to use, reproduce, host, store, modify, adapt, publish, exhibit, display, perform, transmit, distribute, index, archive, and create derivative promotional materials from your User Content for the purposes of operating, maintaining, improving, and promoting the Service.
This license also permits us to generate shareable assets (such as images, videos, cards, or other formatted media) that incorporate all or part of your User Content and to distribute these assets both within SnipFic and externally (e.g., on third-party social media platforms). SnipFic has the right to allow other users to share these assets outside the Service.
This license does not grant SnipFic the right to commercially publish, sell, or license your works in formats beyond SnipFic’s promotional use without your express written permission.
The license granted in this Section 3.2 for content preserved under Section 3.4 survives the termination or deletion of your account.
3.3 Derivative Works Created by Other Users
SnipFic allows users to create User Content that may be inspired by, reference, or build upon the User Content of other users (“Derivative User Content”). By posting User Content to the Service, you grant other users a limited, worldwide, non-exclusive, royalty-free license to view and create Derivative User Content based upon your User Content, provided that such Derivative User Content adheres strictly to the restrictions outlined below.
Derivative User Content must remain within SnipFic, except when shared externally in the form of SnipFic-generated shareable assets. Users may not export, reproduce, repost, or publish Derivative User Content outside of SnipFic unless the material is expressed solely through a SnipFic-generated shareable asset. Users may not commercially exploit Derivative User Content without obtaining written permission from the original author(s) of the underlying User Content.
3.4 Public Nature of the Service
User Content submitted to SnipFic is public by default. You understand that User Content may be viewed, shared, saved, commented on, or interacted with by other users or the public. If you delete your account or User Content, we may preserve versions of such content, which will be attributed to a generic or system-managed user account, to maintain the integrity of published discussions, comment threads, or shareable assets previously generated.
4. Representations, Warranties, and User Responsibilities
By submitting User Content, you represent and warrant that:
You own or have obtained all necessary rights, licenses, permissions, and clearances to submit the User Content to the Service and to grant the rights described in these Terms.
Your User Content does not infringe, misappropriate, or violate the intellectual property rights, moral rights, privacy rights, publicity rights, or other proprietary rights of any third party.
Your User Content does not violate any law, regulation, or court order.
You are solely responsible for your User Content and for any consequences arising from posting or sharing it.
You acknowledge that SnipFic does not pre-screen User Content and is not obligated to monitor User Content for compliance with these Terms. You also acknowledge that SnipFic acts solely as a host and intermediary for User Content provided by users and does not endorse or assume responsibility for any User Content.
5. Prohibited Conduct
You agree not to use the Service in any manner that:
Violates any applicable law or regulation;
Infringes upon or misappropriates the intellectual property or proprietary rights of others;
Exploits, harms, or endangers minors;
Involves sexually explicit content involving minors or otherwise violates applicable child protection laws;
Harasses, threatens, abuses, or encourages harm against others;
Depicts gratuitous, extreme, or sensational violence;
Contains hate speech, discrimination, or attacks on protected classes;
Involves fraudulent, misleading, or deceptive behavior;
Promotes illegal activities or substances;
Attempts to gain unauthorized access to the Service, other users’ accounts, or SnipFic’s systems;
Circumvents content filters, moderation tools, or security measures;
Uses automated tools, bots, scripts, scrapers, or similar technologies to access or interact with the Service;
Interferes with the proper functioning, security, or performance of the Service;
Impersonates any individual, organization, or other user.
We reserve the right to remove User Content, restrict account functionality, or permanently terminate accounts engaging in prohibited conduct.
6. Moderation and Enforcement
We may, but are not obligated to, monitor, review, edit, or remove User Content at any time if we determine, in our sole discretion, that such User Content violates these Terms, threatens the integrity of the Service, infringes applicable laws, or poses a risk to other users. Moderation may involve automated systems, manual review, or a combination of both. You understand that the Service is dynamic and that we may update, remove, or modify features or content moderation processes at any time.
Submission of a report or complaint does not guarantee removal of the reported content, and SnipFic is not obligated to take action in response to any particular report.
7. Privacy and Data Protection
Your use of the Service is governed by our Privacy Policy, which describes the categories of personal information we collect, how we process it, our legal bases under GDPR, your rights under GDPR and CCPA, our data retention practices, and our use of third-party processors such as Firebase for analytics, diagnostics, crash reporting, authentication, and performance monitoring.
By using the Service, you consent to our collection, processing, storage, and handling of personal information as described in the Privacy Policy. You acknowledge that SnipFic operates globally and that your information may be transferred, stored, or processed in the United States or other jurisdictions subject to lawful safeguards.
7.5 Third-Party Processors
You acknowledge and agree that certain features of the Service require the use of third-party processors (such as Google’s Firebase for analytics and crash reporting). Your continued use of the Service constitutes your acceptance of these processors’ respective terms and privacy policies. Spire Interactive is not responsible for the independent actions or security of these third parties.
7.6 Content Monetization and Advertising
You agree that SnipFic may display advertising, sponsored content, or promotional materials in connection with your User Content or on the pages where your User Content is displayed. You are not entitled to any compensation for such advertisements or promotions.
8. Intellectual Property of SnipFic
Except for User Content, the Service and all associated intellectual property—including software, source code, design elements, interfaces, branding, logos, trademarks, and trade dress—are the exclusive property of Spire Interactive or its licensors. You may not copy, modify, reverse engineer, distribute, translate, or create derivative works from any part of the Service without our express written consent.
9. Third-Party Services and External Links
The Service may contain links to third-party websites, applications, or services, including those used for authentication, analytics, crash reporting, or content sharing. Spire Interactive does not control, endorse, or assume responsibility for the content, policies, or actions of third-party services. Your interactions with third-party services are governed solely by their terms and privacy policies.
10. Service Availability, Changes, and Updates
We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. We may also introduce new features or impose limits on certain features. We are not liable for any modification, suspension, or discontinuation of the Service.
We may revise these Terms periodically. If material changes are made, we will take reasonable steps to notify users. Your continued use of the Service after such revisions constitutes acceptance of the updated Terms.
11. Copyright Complaints and DMCA Compliance
Spire Interactive respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (“DMCA”) and similar global safe-harbor regimes. If you believe that any User Content infringes your copyright, you may submit a notice in accordance with our DMCA Policy. Upon receiving a valid DMCA notice, we will remove or disable access to allegedly infringing material as required by law.

We may, in appropriate circumstances and at our discretion, terminate accounts of users who are repeat infringers.
12. Data Storage and Loss of Content
SnipFic is not intended to function as a data storage, archival, or backup service. You acknowledge that you are solely responsible for maintaining independent copies of any User Content that you submit, create, or store through the Service.
To the fullest extent permitted by law, Spire Interactive shall not be liable for any loss, alteration, corruption, or deletion of User Content, nor for any damages arising from such loss, regardless of the cause. You agree that you will not hold Spire Interactive liable for any damages, injuries, or losses resulting from the loss or unavailability of any User Content.
13. Disclaimers
You expressly acknowledge and agree that the Service is provided on an “as is,” “with all faults,” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Spire Interactive disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and security.
We do not warrant that the Service will be uninterrupted, error-free, secure, free of viruses or harmful components, or that defects will be corrected. We do not endorse or guarantee the accuracy, legality, or appropriateness of User Content.
You use the Service at your sole risk. Spire Interactive is not responsible for the conduct of users on or off the Service.
14. Limitation of Liability
To the maximum extent permitted by law, in no event shall Spire Interactive, its affiliates, officers, directors, employees, agents, licensors, or partners be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruptions, device damage, system failures, inability to use the Service, or any other damages arising out of or related to your use of or inability to use the Service.
In no event shall the aggregate liability of Spire Interactive exceed the greater of (a) $100 USD, or (b) the amount you have paid to SnipFic in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Spire Interactive, its affiliates, officers, directors, employees, contractors, agents, licensors, partners, and service providers from and against any and all claims, actions, demands, damages, obligations, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your access to or use of the Service;
Your User Content, including any claim that your content infringes, violates, or misappropriates any intellectual property, proprietary, contractual, privacy, publicity, or other right of a third party;
Your violation of these Terms or any applicable law;
Any material misrepresentation made by you regarding your account information or ownership rights in User Content;
Any dispute or claim between you and another user.
This indemnification obligation survives termination of your account and your use of the Service.
16. Governing Law
These Terms and any disputes arising from or relating to them shall be governed by and construed under the laws of the State of California, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
17. Arbitration and Class Action Waiver (U.S. Users Only)
If you reside in the United States, you agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration is conducted before a single neutral arbitrator. Judgment on the arbitrator’s award may be entered in any court having jurisdiction.
You agree to waive your right to a jury trial and agree that you may bring claims against Spire Interactive only in your individual capacity, not as a plaintiff or class member in any purported class, representative, consolidated, or collective proceeding. Class arbitrations and class actions are not permitted.
This arbitration agreement does not apply to claims for injunctive or other equitable relief relating to intellectual property rights, nor to claims eligible for small claims court, nor to users in jurisdictions where arbitration agreements are not enforceable.
18. International Users
The Service is operated from the United States. If you access the Service from other jurisdictions, you do so voluntarily and are responsible for compliance with local laws. Certain rights, such as GDPR or UK GDPR data protection rights, apply irrespective of these Terms. In the event of conflict between these Terms and mandatory local laws, the local laws governing consumer protection and privacy prevail.
19. Severability
If any provision of these Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

21. Entire Agreement
These Terms constitute the entire agreement between you and Spire Interactive regarding the Service and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
